Terms of Service
1. Introduction
These Terms of Service (“Terms”) govern your access to and use of the services provided by Statheros. By accessing or using our services, you agree to be bound by these Terms. This agreement is governed by the laws of the State of Delaware, United States.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding agreement to use this service.
3. Account Creation and Suspension
To use Statheros, you must create an account and provide accurate and complete information, including your name, address, email, phone number, business name (if applicable), and bank account information. We reserve the right to suspend or terminate any account at our sole discretion, including in cases of actual or suspected violation of these Terms, fraudulent activity, or as required by law. In such cases, we may report the activity to relevant authorities. We also reserve the right to suspend inactive accounts after a period of time, at our discretion.
4. User Responsibilities
Users are responsible for maintaining the confidentiality of their login credentials and for all activity under their account unless resulting from a system-level security breach by Statheros. You agree to provide accurate and complete information during registration and account setup, and to keep your information current. Statheros may use third-party services to verify your identity and assess eligibility to access certain features.
5. Payment Authorization and Linked Accounts
By linking a bank account or other payment method to Statheros, you represent and warrant that you are the owner of the account or have full legal authorization to use it. Statheros may use one or more third-party services to facilitate account linking and payment processing. You agree to comply with any terms required by those third-party services as part of the linking or verification process.
You may link multiple financial accounts to your profile. However, we reserve the right to limit, restrict, or disable any linked accounts in cases of suspected fraud, unauthorized use, or risk-related activity.
6. Transactions and Payment Responsibility
You are responsible for initiating or authorizing payments within Statheros, whether manually or through automated options you configure. You must review all transaction details prior to submission. In general, submitted payments are final. However, reversal or cancellation may be available in limited cases and at the sole discretion of Statheros.
You are not required to link a bank account to use Statheros, but transactions may fail if linked accounts are invalid, closed, or lack sufficient funds. In such cases, Statheros may cancel the transaction, notify you of the failure, and require updated payment information before processing further activity.
You are responsible for all payments you initiate through Statheros, including those disputed with third-party payment providers or financial institutions. If you file a chargeback for a transaction that was authorized and completed, you may be held liable for the resulting loss, and Statheros reserves the right to recover those funds or take legal action.
7. Data Collection and Privacy
You authorize Statheros to collect and retain transactional and usage data as necessary to prevent fraud, comply with regulations, and support dispute resolution. We retain transaction and account records as required by law and to fulfill our legitimate business purposes.
8. Acceptable Use Policy
Our users are strictly prohibited from using Statheros to:
- Engage in any illegal activity, including fraud, money laundering, or tax evasion
- Use false, misleading, or stolen information to create accounts or conduct transactions
- Send or receive payments for prohibited goods or services (e.g., weapons, adult content, gambling, controlled substances)
- Attempt to access, reverse-engineer, decompile, or tamper with any part of the Statheros platform or systems
- Interfere with the security, integrity, or availability of Statheros services or infrastructure
- Impersonate any person or entity, or engage in harassment, abuse, or deceptive behavior
- Violate the terms of any third-party providers integrated into the platform (e.g., Plaid, payment processors)
- Use automated tools, scripts, or any excessive or abusive access patterns to interact with the service
- Send spam, phishing attempts, or any form of unsolicited or harmful communications
Statheros reserves the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspension or termination of access and reporting to relevant authorities.
9. Limitation of Liability
To the fullest extent permitted by law, Statheros and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service.
In no event shall Statheros’ total liability exceed the total amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, and in any case, shall not exceed $100,000.
10. Dispute Resolution and Arbitration
We hope to resolve any issues or concerns you may have quickly and informally. If a dispute does arise, you and Statheros agree to first attempt to resolve it through good-faith negotiations.
If we cannot resolve the dispute informally, you and Statheros agree to resolve any claim, dispute, or controversy arising out of or in connection with these Terms or the use of the service through final and binding arbitration. The arbitration shall be conducted by a single arbitrator and administered by a recognized arbitration provider, under its applicable rules. The arbitration shall be conducted remotely (via telephone, video conference, or online submission), unless both parties agree otherwise. Judgment on the arbitration award may be entered in any court having jurisdiction.
To the fullest extent permitted by law, you and Statheros agree to waive the right to a trial by jury or to participate in a class action. All claims must be brought on an individual basis and not as a plaintiff or class member in any purported class or representative proceeding.
This agreement is governed by the laws of the State of Delaware, United States.
11. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice within the service. Your continued use of Statheros after any changes take effect constitutes your acceptance of the updated Terms.
12. Termination and Account Closure
You may close your account at any time. Statheros may suspend or terminate access to the service at its discretion, including for violations of these Terms. Upon termination, your right to access the service will immediately cease. However, Statheros may retain information associated with your account, including transaction history and identity records, for as long as necessary to comply with legal obligations, resolve disputes, prevent fraud, or enforce our agreements. Closing your account does not affect your obligation to pay any outstanding fees or comply with applicable terms related to past transactions.
13. Miscellaneous
These Terms constitute the entire agreement between you and Statheros regarding the use of the service, and supersede any prior agreements.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
